Article 1 Validity of these terms and conditions. 1.1 These terms and conditions apply to all offers and agreements entered into by "Safety Group International V.O.F.," based in Ulft, hereinafter referred to as "SAFETY GROUP INTERNATIONAL." 1.2 The order or purchase by the client is considered acceptance of the general terms and conditions of SAFETY GROUP INTERNATIONAL. 1.3 If SAFETY GROUP INTERNATIONAL agrees with the client on provisions that conflict with one or more articles or sections of these terms, they are only valid if agreed upon in writing.
Article 2 Offers. 2.1 All offers and/or quotations are non-binding. The quoted prices apply to delivery by SAFETY GROUP INTERNATIONAL, excluding VAT, packaging, and transport costs. 2.2 Information in printed materials provided by SAFETY GROUP INTERNATIONAL is subject to change without prior notice and does not bind SAFETY GROUP INTERNATIONAL.
Article 3 Agreement. 3.1 The agreement for the purchase and sale of goods is only binding for SAFETY GROUP INTERNATIONAL upon written/oral confirmation. 3.2 Information provided by SAFETY GROUP INTERNATIONAL regarding the offered goods, such as properties, sizes, color, etc., as well as information in printed materials, drawings, images, etc., is non-binding and given in good faith. If a sample, model, or prototype has been shown or provided, it is presumed to be for indication purposes only, and the delivered goods may not match it. 3.3 Color differences within or between batches may occur. This is never grounds for contract dissolution or compensation for damages. 3.4 Projects generally have a side-letter (agreement), which will be added to our standard general agreement.
Article 4 Agreements. 4.1 Agreements or contracts made with subordinate staff members of SAFETY GROUP INTERNATIONAL do not bind the company, unless confirmed in writing by SAFETY GROUP INTERNATIONAL. Subordinate staff includes all employees who do not have power of attorney.
Article 5 Prices and Payment. 5.1 All agreements are concluded based on the prices valid at the time of conclusion. Price lists and promotional materials are subject to change and do not bind SAFETY GROUP INTERNATIONAL. VAT will be calculated at checkout during your order. 5.2 Payment must be made within 14 days of the invoice date, in the manner indicated by SAFETY GROUP INTERNATIONAL, in the currency in which the invoice was issued. SAFETY GROUP INTERNATIONAL is entitled to invoice periodically. 5.3 If the other party fails to pay an invoice on time, the other party is automatically in default. They owe interest at a rate of 1% per month, unless the statutory interest is higher, in which case the statutory interest applies. Interest will be calculated from the moment the other party is in default until full payment is made. 5.4 SAFETY GROUP INTERNATIONAL has the right to apply payments made by the other party first to cover costs, then to any overdue interest, and finally to reduce the principal and current interest. 5.5 SAFETY GROUP INTERNATIONAL may refuse a payment offer if the other party indicates a different order for the allocation of the payment. SAFETY GROUP INTERNATIONAL may refuse full repayment of the principal if the overdue interest and collection costs are not also paid. 5.6 The other party is never entitled to set off the amounts owed to SAFETY GROUP INTERNATIONAL. 5.7 Complaints about the invoice amount do not suspend the payment obligation. The other party is also not entitled to suspend payment of an invoice for any other reason. 5.8 If the other party fails to comply with their obligations (in time), all reasonable costs for obtaining satisfaction out of court will be for the other party's account. The out-of-court costs will be calculated based on standard Dutch collection practices. If SAFETY GROUP INTERNATIONAL has incurred higher collection costs that were reasonably necessary, those actual costs will be reimbursed. Any legal and enforcement costs will also be recovered from the other party. The other party will also owe interest on the collection costs.
Article 6 Delivery Times. 6.1 The agreed delivery times are not fatal deadlines. In case of delayed delivery, the client must notify SAFETY GROUP INTERNATIONAL in writing of the default. The delivery times are set based on the expectation that there are no obstacles preventing SAFETY GROUP INTERNATIONAL from delivering the goods or starting the work.
Article 7 Transportation. 7.1 Shipment will be carried out in the manner specified by SAFETY GROUP INTERNATIONAL.
Article 8 Additional or Reduced Work. 8.1 The work only includes what is specifically agreed upon in writing between the parties. Additional or reduced work assigned orally or in writing during the execution of the work will be charged accordingly. 8.2 Costs incurred by SAFETY GROUP INTERNATIONAL due to reasons beyond its control will be charged to the client.
Article 9 Outsourcing Work to Third Parties. 9.1 SAFETY GROUP INTERNATIONAL has the right to have certain work performed by third parties. 9.2 The client authorizes SAFETY GROUP INTERNATIONAL to have the assignment performed by a third party, at a time chosen by SAFETY GROUP INTERNATIONAL.
Article 10 Change of Assignment. 10.1 Changes to the original order, of any kind, made by or on behalf of the client, which result in higher costs than those anticipated in the price offer, will be charged to the client. 10.2 Any changes requested by the client after the assignment has been provided must be communicated to SAFETY GROUP INTERNATIONAL in writing and in a timely manner. If they are provided orally or by phone, the client assumes the risk for the implementation of those changes. 10.3 Changes may result in the agreed delivery time being exceeded, which will be outside SAFETY GROUP INTERNATIONAL's responsibility.
Article 11 Complaints. 11.1 The client must immediately inspect the goods upon delivery for defects. If defects are found, SAFETY GROUP INTERNATIONAL must be notified in writing. If the client does not notify SAFETY GROUP INTERNATIONAL within 8 days after delivery of defects that could have been noticed during a thorough inspection, the client is deemed to have accepted the condition of the goods and loses any right to complain. 11.2 SAFETY GROUP INTERNATIONAL must be given the opportunity to inspect the complaints. If agreed, a written statement will be prepared and signed by both parties. 11.3 If SAFETY GROUP INTERNATIONAL finds the complaint valid, it will either provide fair compensation up to the invoice value of the goods or replace the goods free of charge after their return in the original condition. SAFETY GROUP INTERNATIONAL is not obliged to further compensation for damages or costs. 11.4 If it is determined that a complaint is unjustified, the costs incurred, including research costs, will be fully charged to the other party.
Article 12 Warranty. 12.1 For sold and delivered goods with factory or importer or wholesaler warranty, only the warranty conditions set by those suppliers apply.
